Terms of Service for Ready247.ai
These Terms explain the rules that apply when you use the Ready247 website and its AI agents. They govern your use of our website and the AI agents on it. If you become a Ready247 customer, your service is also governed by a separate agreement; these Terms cover your use of the site and agents.
1. Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and Reliable Telephone & Data, Inc. d/b/a Ready247.ai ("RTD," "Ready247," "we," "us"), a California corporation. They govern your access to and use of the Ready247-owned and RTD-operated websites at ready247.ai and ready247ai.com, their subdomains (for example, clientname.ready247ai.com), demos, and AI agents (chat and voice), and any other tools we make available through them (collectively, the "Site").
Ready247 may also power customer-branded landing pages or AI agents for our business clients. Those customer-branded pages and agents may additionally be subject to the applicable customer's own terms, privacy notices, and business policies, and your interaction with them may be with that business rather than with Ready247.
By accessing or using the Site, including by viewing pages, submitting our early-access or interest form, chatting with an AI agent, or speaking with a voice agent, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site. RTD presents these Terms through a conspicuous link, and where you submit the interest form or start a chat or voice agent, RTD asks you to affirmatively accept these Terms before you continue.
2. Who can use the site
The Site is intended for business users in the United States. By using it, you represent that:
- You are at least 18 years old and able to enter into a binding contract.
- You are accessing the Site on your own behalf or with authority to act for the company you represent.
- Your use does not violate any law that applies to you.
Our website and services are not directed to children under 16, and we do not knowingly collect personal information from children under 16. See our Privacy Policy for more.
3. The website and AI agents
The Site provides information about Ready247 and RTD products and services, ways to contact us, an early-access signup, and AI-powered agents (chat and voice) intended to help people learn about what we do and capture leads.
AI agents identify themselves as AI at or near the start of the interaction and do not represent themselves as human. Voice agents also announce that the call is recorded; by continuing the call after that notice, you consent to being recorded as described in our Privacy Policy and Section 10.
The Site is provided free of charge for informational and pre-sales purposes. We may modify, suspend, or discontinue any part of the Site at any time, with or without notice.
4. AI output is not binding
Read this carefully. The chat and voice agents generate responses using AI models and the information made available to them. They are useful for general questions, but they are not infallible; they may produce inaccurate, incomplete, outdated, or unexpected output.
You agree that:
- Statements made by an AI agent are informational, not contractual. Anything an AI agent says about pricing, timelines, capabilities, availability, included features, compliance status, technical specifications, or any other commercial or technical detail is provided for general guidance only. It is not a quote, not an offer, and does not create a binding commitment by RTD or by the business the agent serves.
- Only a written agreement, order form, checkout agreement, or other contract accepted through an RTD-approved process creates a binding commitment by RTD. Pricing, scope, timing, deliverables, warranties, and any other commercial terms become binding only when set out in such a document and accepted through that process. The same applies to any business an AI agent serves: only that business's own written agreement or confirmation creates a commitment by it.
- AI output may contain errors, including invented "facts" (sometimes called hallucinations). You are responsible for verifying any information that matters to your decision-making before acting on it.
- Do not rely on the AI agents for emergency, legal, financial, medical, or regulated-industry advice. They are not designed for those purposes.
- If anything an AI agent told you contradicts what RTD confirms in writing, the writing controls.
5. Acceptable use
You agree not to use the Site to:
- Violate any law, infringe anyone's rights, or harm any person.
- Send unsolicited commercial messages, spam, or content you do not have the right to send.
- Submit false, misleading, or impersonating information through the form, chat, or voice agent.
- Reverse engineer, decompile, disassemble, scrape, mirror, frame, or attempt to derive the source code of the Site, the AI agents, or any underlying service, except to the extent expressly permitted by applicable law.
- Probe, scan, or test the vulnerability of the Site or interfere with its operation (including by injecting malicious code, abusing rate limits, or attempting unauthorized access).
- Use the Site or its output to train, fine-tune, or publicly benchmark a machine-learning model, or to build a competing product or service.
- Use any automated system (bot, crawler, scraper, harvester) to access the Site, other than well-behaved search-engine indexing.
- Misrepresent an AI agent's output as human-authored, or as a binding statement by RTD or by the business the agent serves.
We reserve the right (but are not obligated) to monitor use of the Site, investigate suspected violations, and take action, including blocking access, without notice.
6. Information you send us
When you submit information through the form, chat, or voice agent, or when you email or call us, you represent that you have the right to share what you are sharing.
Personal and lead information. When you submit information through the Site or agents, you authorize RTD to collect, store, process, transmit, and use that information as reasonably necessary to respond to your inquiry, operate and improve the Site and agents (including reviewing transcripts for quality), provide requested services, maintain security, and comply with legal obligations. We handle that information as described in our Privacy Policy.
Feedback. If you provide suggestions, feedback, or ideas about Ready247 or RTD services, you grant RTD a perpetual, irrevocable, worldwide, royalty-free, and sublicensable right to use that feedback for any purpose without restriction or compensation.
Please do not submit protected health information, payment card numbers, government identifiers, passwords, or other sensitive personal information through the chat or voice agents. If you become a customer and need to share that kind of information, we will give you a secure channel. If you submit sensitive information through an agent anyway, you do so at your own risk, and RTD is not responsible for that information beyond the protections described in the Privacy Policy.
7. Intellectual property
The Site, including its content, design, layout, code, graphics, the "Ready247" name and wordmark and logos, and the selection and arrangement of content, is owned by RTD or our licensors and is protected by U.S. and international intellectual-property laws.
We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Site for your own internal business purposes, subject to these Terms. All other rights are reserved. No license is granted to use our trademarks, logos, or branding without our prior written consent. Third-party trademarks referenced on the Site (such as those of the providers we work with) belong to their respective owners, and their appearance does not imply endorsement.
8. Third-party services
We use third-party providers to host, power, process, transmit, and support portions of the Site and agents. These currently include providers such as Vercel (hosting), ElevenLabs (voice agents), Anthropic (AI chat and conversation handling), Twilio (SMS notifications), Resend (transactional email), Stripe (payments, once enabled), and Intermedia (phone-system tiers). This list may change over time.
Those providers may process information as described in our Privacy Policy and under their own applicable terms and privacy commitments. We are not responsible for the availability, content, accuracy, or practices of any third-party service outside our reasonable control. Your use of any third-party service is at your own risk and is governed by that provider's own terms.
9. SMS messaging terms
These terms apply to the Ready247 SMS notification program operated by RTD.
Program. Ready247 sends transactional and account SMS notifications to business customers who subscribe to the service, and to additional team members those customers designate. Notifications include new-lead alerts, agent status and service messages, and report availability. We do not send marketing or promotional text messages under this program.
Consent. By providing your mobile number and opting in at signup, you agree to receive these SMS notifications. Consent to receive these notifications is not a condition of buying any Ready247 product or service. The account owner may designate additional recipients only if those recipients have authorized the customer and RTD to send them Ready247 service notifications. RTD may require each designated recipient to confirm opt-in before messages begin.
Frequency and rates. Message frequency varies with lead activity. Message and data rates may apply, depending on your mobile carrier and plan.
Opt-out and help. You may opt out by replying STOP to any message, or by contacting us through any other reasonable method. We will honor SMS opt-out and consent-revocation requests as required by law. Reply HELP for assistance, or contact us at support@ready247.ai or 1-800-942-7200.
Carriers. Mobile carriers are not liable for delayed or undelivered messages.
No sharing. Mobile opt-in data and SMS consent are never sold, rented, or shared with third parties for marketing. See our Privacy Policy for details.
10. Voice agents and recording
Ready247 provides AI voice agents you can speak with through your browser or phone, operated by ElevenLabs Inc. Before a voice agent records a conversation, the agent will provide a notice that the conversation is with an AI agent and will be recorded and transcribed.
If you do not consent to recording or transcription, do not continue the voice interaction. By continuing after the notice, you consent to the recording, transcription, storage, and use of the interaction under California Penal Code Section 632 and as described in our Privacy Policy.
You may not secretly record a voice interaction where consent is required by law, or use automated tools to capture, scrape, or republish agent conversations in violation of these Terms or applicable law. See our Privacy Policy for how audio, transcripts, and summaries are handled.
11. The Ready247 service is governed by a separate agreement
If you become a Ready247 customer, the specific products and services you buy (for example, an AI lead-capture agent, a phone-system tier, or ongoing changes and support work) are governed by one or more separate agreements: an order or checkout agreement, a customer or master service agreement, and/or the terms of an underlying carrier or platform we resell. Those documents control the commercial terms of your service (price, scope, term, service levels, warranties, and how your end users' data is handled).
Additional services. If you request services beyond your plan, such as changes, maintenance, or add-ons ordered later, those are billed under the Additional Services and Billing Authorization provision of your Client Service Agreement, which sets the rate, your approval of a written estimate before work begins, and how charges are billed.
These Terms apply to your use of the Site only. To the extent there is a conflict between these Terms and a signed Ready247 service agreement with respect to a specific service, the service agreement controls.
12. Phone-system tiers: address and 911 emergency calling
Read this carefully if you purchase a phone-system tier through Ready247 (for example, a tier built on Intermedia Unite). Because the service runs over the internet, 911 emergency calls are routed to local responders based on the address you register with us, not your actual physical location at the time of the call. Keeping that address current is your responsibility.
If you purchase voice service through Ready247, you agree that:
- You will keep your registered service address current and promptly notify us when you move, add a location, or relocate a phone, app, or extension to a new address, even temporarily.
- Mobile and desktop calling apps can be used anywhere with internet, which means a 911 call placed from a softphone may not reach the correct dispatch center if the registered address does not match where you are.
- 911 routing follows the registered address. To the maximum extent permitted by law, neither RTD nor the underlying carrier will be responsible for an emergency call that does not reach the correct responder because the registered address was not current.
- Cloud phones do not function during a local power or internet outage unless backup is in place. We recommend keeping a mobile phone with cellular service available as an emergency backup at every location.
Phone-system customers may be required to review and acknowledge separate E911 disclosures before service activation. These obligations apply in addition to your signed service agreement and survive for as long as you use the voice service.
13. Disclaimers
The Site and all content, agents, output, and information on it are provided "as is" and "as available" without warranty of any kind, express or implied. To the maximum extent permitted by law, RTD disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
Without limiting the above, RTD does not warrant that the Site or any agent will be uninterrupted, error-free, secure, or free of harmful components; that any AI output will be accurate, complete, current, or appropriate for any purpose; that defects will be corrected; or that the Site is suitable for compliance with any specific law or regulation applicable to your business. Some jurisdictions do not allow certain exclusions, which then apply to the extent allowed.
14. Limitation of liability
To the maximum extent permitted by law, in no event will RTD or its officers, directors, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, business opportunity, or goodwill, arising out of or in connection with your use of (or inability to use) the Site or any AI agent, whether based on warranty, contract, tort (including negligence), strict liability, or any other theory, and regardless of whether RTD has been advised of the possibility of such damages.
RTD's total aggregate liability arising out of or related to your use of the Site and the AI agents will not exceed one hundred U.S. dollars (US $100.00), or the amount you paid RTD, if any, specifically for access to the Site in the twelve (12) months before the event giving rise to the claim, whichever is greater. This cap applies to all claims in the aggregate and is not per-incident. This cap covers only your use of the free Site and the AI agents. It does not apply to the paid Services, which are governed solely by the limitation of liability in the Client Service Agreement. Fees paid under a separate Ready247 service agreement are governed by that agreement and the paid Services are not subject to this Site cap. This cap does not limit liability that cannot be limited under California law, such as liability for fraud, willful injury, or a violation of law. Some jurisdictions do not allow certain limitations, which then apply to the extent allowed.
15. Indemnification
You will defend, indemnify, and hold harmless RTD and its officers, directors, employees, agents, affiliates, and licensors from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or AI agents in violation of these Terms; (b) your violation of any law or third-party right; (c) any information you submitted that you did not have the right to submit; or (d) your misrepresentation of an AI agent's output as a binding RTD commitment.
RTD reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense. Your indemnity does not cover any loss to the extent it is caused by RTD's own negligence or willful misconduct.
16. Termination
We may suspend or terminate your access to the Site or any AI agent at any time, with or without notice, for any reason, including suspected violation of these Terms or to protect the Site, our service, or others. You may stop using the Site at any time. Provisions that by their nature should survive termination (including Sections 6, 7, 10, 11, 12, 13, 14, 15, 17, 18, and 19) will survive.
17. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Federal law applies where preempted.
Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@ready247.ai. We will try to resolve it within thirty (30) days of receiving notice.
Binding arbitration. If informal resolution does not succeed, you and RTD agree that any dispute arising out of or related to these Terms or the Site will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration takes place in Los Angeles County, California, and judgment on the award may be entered in any court with jurisdiction. The arbitrator decides all questions about whether a dispute is subject to arbitration.
Class action waiver. You and RTD agree to bring claims only in an individual capacity. Neither party may bring or take part in a class, collective, consolidated, or representative action, and the arbitrator may not preside over any class or representative proceeding. If this waiver is found unenforceable for a particular claim, that claim proceeds in court and the rest of this section still applies.
Court matters. Either party may bring an individual claim in small claims court if it qualifies. Either party may also ask the state or federal courts in Los Angeles County, California for an injunction or other equitable relief to protect its intellectual property or confidential information, or to confirm or enforce an arbitration award. For those matters, you consent to the personal jurisdiction of those courts and waive any objection to venue there. If you are a consumer, meaning you use the Site for personal, family, or household purposes, the American Arbitration Association Consumer Arbitration Rules apply and RTD pays the arbitration fees those rules require RTD to pay. You may reject this arbitration and class waiver by emailing support@ready247.ai within thirty (30) days after you first accept these Terms, and if you do, the Los Angeles County courts resolve your disputes instead.
Time limit. Any claim arising out of or related to these Terms or the Site must be brought within one (1) year after the cause of action arises, or it is permanently barred, to the extent permitted by law. The one-year period pauses while the parties work through the informal resolution step above.
Prevailing-party fees. In any action to enforce these Terms, the prevailing party is entitled to recover its reasonable attorneys' fees and costs.
If you are a customer with a signed Ready247 service agreement, the dispute-resolution provisions of that agreement control over this section for disputes arising under the service agreement.
18. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, RTD will post the updated Terms and give reasonable advance notice before they take effect, and will notify active customers directly where appropriate. Your continued use of the Site after a change becomes effective constitutes acceptance of the updated Terms. If you do not agree to a change, stop using the Site.
19. Miscellaneous
Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and RTD regarding the Site, and supersede any prior agreement on that subject. Signed Ready247 service agreements are not superseded and control your service relationship with us.
Severability. If a court finds any provision unenforceable, the rest remains in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign or transfer these Terms without our prior written consent. Any assignment or transfer you attempt without that consent is void. RTD may assign them in connection with a merger, acquisition, financing, or sale of assets.
No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and RTD.
Force majeure. RTD is not liable for any delay or failure to perform caused by events beyond our reasonable control, including network outages, third-party service failures, natural disasters, acts of government, or labor disputes.
Notices. Notices to RTD must be sent in writing to the address in Section 20. We may give notice to you by posting on the Site or by emailing the address you provided.
